These Terms and Conditions (“Terms”) govern your use of https:\/\/www.autosparesupplier.com (the “Site”) and any quotation, sample order or supply agreement entered into with K-stone Metal (Wenzhou) Co.,Ltd.<\/strong> (“K-STONE”, “we”, “us”). By browsing the Site or submitting an enquiry you accept these Terms. If you purchase goods from us, the terms of the signed contract, order confirmation or proforma invoice prevail over any conflicting statement on the Site.<\/p>\n\n\n\n

2. Use of the Site<\/h2>\n\n\n\n

You may browse the Site and download product documents for the purpose of evaluating and purchasing our products. You may not: scrape or bulk-extract content; copy product descriptions or images for your own commercial website; attempt to gain unauthorised access to the Site or its servers; or use the Site in any way that breaches applicable law.<\/p>\n\n\n\n

3. Product information and quotations<\/h2>\n\n\n\n

Product descriptions, drawings, dimensions, material specifications and images on the Site are provided for reference. Colours and surface finishes may vary between production batches and between screen displays. A quotation is valid for the period stated on it; if no period is stated, it is valid for 30 days. Only the specifications confirmed in the order confirmation, proforma invoice or approved sample are contractually binding.<\/p>\n\n\n\n

4. Orders and acceptance<\/h2>\n\n\n\n

An order becomes binding when we issue a written order confirmation or proforma invoice and receive the agreed advance payment. We may decline an order where specifications are incomplete, where tooling is not available, or where the requested product would infringe a third party’s intellectual property rights.<\/p>\n\n\n\n

5. Prices and payment<\/h2>\n\n\n\n

Prices are quoted in the currency stated on the quotation, normally USD, and are exclusive of import duties, taxes and destination charges unless expressly stated. Payment terms, currency and bank charges are set out in the proforma invoice. Where payment is made by bank transfer, all remitting and intermediary bank charges are for the buyer’s account unless agreed otherwise.<\/p>\n\n\n\n

6. Samples, tooling and customisation<\/h2>\n\n\n\n

Sample and tooling charges, lead times and any refund or amortisation conditions are stated in the relevant quotation. Tooling and customised products developed for a buyer are produced solely for that buyer and are not offered to other customers, unless the buyer authorises otherwise in writing.<\/p>\n\n\n\n

7. Delivery and risk<\/h2>\n\n\n\n

Delivery terms follow the Incoterms® 2020 rule stated in the order confirmation. Lead time runs from the later of (a) receipt of the advance payment and (b) written confirmation of drawings, samples or artwork. Stated dates are estimates; we will inform you promptly if a delay is expected. Risk transfers in accordance with the agreed Incoterms rule.<\/p>\n\n\n\n

8. Inspection and claims<\/h2>\n\n\n\n

You should inspect the goods on arrival. Any shortage, visible damage or specification deviation should be notified to us in writing within 15 days of arrival, with photographs and packing details where possible. Claims notified after this period may not be accepted, except where a defect could not reasonably have been discovered on inspection.<\/p>\n\n\n\n

9. Warranty<\/h2>\n\n\n\n

Our products are warranted against manufacturing defects for the warranty period stated in the order confirmation or quotation. The warranty does not cover normal wear, corrosion caused by an unsuitable operating environment, damage from improper installation or modification, or use outside the stated technical limits. Our obligation is limited, at our option, to repair, replace or credit the defective goods.<\/p>\n\n\n\n

10. Intellectual property<\/h2>\n\n\n\n

Drawings, specifications and artwork supplied by you remain your property, and you confirm that you hold the rights necessary for us to manufacture to them. All content on the Site, including text, photographs and layout, is owned by or licensed to K-stone Metal (Wenzhou) Co.,Ltd. and may not be reproduced commercially without our written permission. Brand and vehicle names mentioned on the Site are the trademarks of their respective owners and are used only to describe application compatibility; we are not affiliated with, or authorised by, those manufacturers.<\/p>\n\n\n\n

11. Limitation of liability<\/h2>\n\n\n\n

To the extent permitted by law, we are not liable for indirect or consequential loss, including loss of profit, loss of production or loss of goodwill. Our total liability arising from any order is limited to the invoiced value of the goods concerned.<\/p>\n\n\n\n

12. Confidentiality<\/h2>\n\n\n\n

Each party will keep confidential any technical, commercial or pricing information received from the other in connection with an enquiry or order, and will use it only for the purpose for which it was disclosed.<\/p>\n\n\n\n

13. Force majeure<\/h2>\n\n\n\n

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, epidemic control measures, war, port closure, transport interruption, or government action affecting export. The affected party will notify the other promptly and the delivery date will be extended by a period equal to the delay.<\/p>\n\n\n\n

14. Governing law and disputes<\/h2>\n\n\n\n

These Terms are governed by the laws of the People’s Republic of China. The parties will first attempt to resolve any dispute through negotiation. If negotiation fails, the dispute will be submitted to the court or arbitration body agreed in the signed contract; if no such provision exists, to the competent court at our place of business.<\/p>\n\n\n\n

15. Changes to these Terms<\/h2>\n\n\n\n

We may update these Terms from time to time. The version published on the Site at the time of your order applies to that order.<\/p>\n\n\n\n
